You are responsible for maintaining the confidentiality of any account credentials, booking confirmations, access links, or passwords issued to you. You are responsible for all activity conducted through your account or access credentials, except to the extent caused by our negligence or misconduct.
We may suspend or terminate access to services, without refund where permitted by law, if you violate these Terms, engage in abusive conduct, or materially disrupt our operations or the learning environment.
4. Payment Terms and Conditions
Fees for services will be communicated at the time of purchase, booking, enrollment, or through a written quote or invoice. Unless otherwise stated, all prices are in Canadian dollars (CAD).
- Payment may be required in advance for classes, packages, assessments, or corporate training.
- We may accept payment by credit card, debit card, e-transfer, bank transfer, or other methods we make available from time to time.
- Where applicable, taxes (including GST/HST) will be added in accordance with applicable law.
- Invoices are payable by the due date stated on the invoice or, if no date is stated, immediately upon receipt.
- We may suspend service delivery, access to classes, or booking privileges if payment is overdue or declined.
You are responsible for all charges incurred under your account, including any applicable fees for late cancellations, no-shows, materials, administrative fees, rescheduling, or chargeback-related costs, to the extent permitted by law.
If you initiate a chargeback or payment dispute without first contacting us in good faith to resolve the issue, we may suspend services and seek recovery of any related costs, fees, or losses, subject to applicable law.
5. Cancellation and Refund Policy
Our cancellation and refund policy is intended to be fair and to reflect the time reserved for instructors and participants. Specific program terms may supplement this policy if disclosed in advance.
- Private sessions: Cancellations or rescheduling requests must be made at least 24 hours in advance unless a different notice period is stated at booking. Late cancellations or no-shows may be charged in full.
- Small-group classes: Fees for group classes are generally non-refundable once the term, session block, or class package begins, except where required by law or expressly stated otherwise.
- Packages: Prepaid lesson packages are non-transferable unless we agree otherwise in writing. Unused sessions may expire after the period stated at purchase, or, if no period is stated, after a reasonable time in accordance with the booking terms provided.
- Corporate training: Corporate training fees, deposits, and materials may be subject to separate written agreements. In the absence of such agreement, cancellations must be made at least 7 days in advance to avoid charges for reserved instructor time and preparation.
- Refunds: Refunds, where available, will be processed to the original payment method or by another method at our discretion, subject to applicable law and payment processor rules.
We may issue credits, make-up sessions, or alternative arrangements in our discretion, but doing so does not waive any of our rights under these Terms. If we cancel a service and do not provide a reasonable rescheduling option, we will provide a refund or credit for the cancelled portion, subject to applicable law.
Nothing in these Terms is intended to limit any non-waivable consumer rights available under applicable Canadian law.
6. Liability Limitations
To the fullest extent permitted by law, Nordic Language Learning Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of opportunity, or business interruption, arising out of or in connection with the services or these Terms.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount paid by you to Nordic Language Learning Inc. for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $100, whichever is greater, except where a greater amount is required by applicable law.
We do not guarantee specific language outcomes, exam results, school grades, immigration outcomes, employment outcomes, or business results. Learning progress depends on many factors, including attendance, practice, effort, prior proficiency, and learning environment.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence, where such limitation is prohibited.
7. Intellectual Property Rights

9. Force Majeure
We will not be liable for any delay, failure, or interruption in providing services caused by events beyond our reasonable control, including but not limited to severe weather, fire, flood, power outage, internet or telecommunications failure, epidemic or pandemic restrictions, labour disputes, government action, war, civil unrest, equipment failure, platform outages, or acts of God.
In such circumstances, we may reschedule services, provide alternative delivery methods, or suspend performance for the duration of the force majeure event. If a force majeure event materially prevents delivery of a paid service, we will act reasonably and in accordance with applicable law in determining whether to reschedule, credit, or refund affected portions.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, legal requirements, business practices, or operational needs. The revised Terms will be posted or otherwise made available with a revised effective date.
Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the updated Terms, unless applicable law requires otherwise. If you do not agree to the revised Terms, you must stop using the services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, our services, or your use of our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any rights you may have under applicable consumer protection law, you agree that the courts located in Ontario, Canada shall have exclusive jurisdiction over any dispute, claim, or proceeding arising from or relating to these Terms or the services.
